Agreement to Terms

Welcome to Proxus. By downloading, installing, accessing, or using the Proxus mobile application ("App", "Proxus", "we", "our", or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

Proxus is operated by a Nevada-based company. These Terms govern your access to and use of the App, including all content, features, and services available through it.

Eligibility

You must be at least 18 years of age to create an account or use Proxus. By using the App, you represent and warrant that:

• You are at least 18 years old;
• You have the legal capacity to enter into a binding agreement;
• Your use of Proxus does not violate any applicable law or regulation.

We reserve the right to terminate accounts of users found to be under the age of 18 without prior notice.

User Accounts

To access certain features of Proxus, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain the security and confidentiality of your login credentials;
• Notify us immediately of any unauthorized access to your account;
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account at our sole discretion if we determine you have violated these Terms.

User Content

4.1 Your Content

Proxus allows users to post, share, and interact with text and photos ("User Content"). You retain ownership of any content you submit. By posting content on Proxus, you grant us a non-exclusive, royalty-free, worldwide license to display and distribute your content solely for the purpose of operating the App.

4.2 Content Standards

You agree not to post, upload, or share any content that:

• Is unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene;
• Infringes upon any third party's intellectual property rights, privacy rights, or other rights;
• Contains sexually explicit material, including any content that sexualizes minors;
• Promotes violence, discrimination, or illegal activities;
• Constitutes spam, phishing, or other unsolicited commercial communications;
• Impersonates any person or entity or misrepresents your affiliation with any person or entity;
• Contains viruses, malware, or any other harmful or disruptive code.

4.3 Content Moderation

Proxus uses automated safety tools to help maintain a safe platform:

Automated moderation does not guarantee removal of all violating content. We reserve the right, but assume no obligation, to review, edit, or remove any User Content at our sole discretion.

Reporting & Enforcement

Proxus provides users with tools to report accounts engaged in spam, harassment, or other violations of these Terms. We take all reports seriously and will review them in a timely manner. Upon review, we may take actions including, but not limited to:

• Issuing warnings to the offending user;
• Temporarily or permanently suspending or terminating the reported account;
• Removing offending content;
• Reporting conduct to applicable law enforcement agencies.

We are not obligated to take action on every report, and our enforcement decisions are made at our sole discretion.

Privacy & Data

Because we collect no user data, we have no data to share, sell, or disclose to third parties. Any automated content moderation (such as CSAM detection and language filtering) is performed without retaining or logging personal information.

Please note: while we do not collect data, your device's operating system, internet service provider, or third-party services you connect through may collect information independently. We encourage you to review their privacy policies.

Intellectual Property

All content, design, graphics, software, and other materials that are part of the Proxus App (excluding User Content) are owned by or licensed to Proxus and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our App or its underlying software without our express written permission.

Prohibited Conduct

In addition to the content standards above, you agree not to:

• Attempt to gain unauthorized access to any part of the App or its related systems;
• Use automated tools (bots, scrapers, crawlers) to access or interact with the App;
• Reverse engineer, decompile, or disassemble any portion of the App;
• Use the App in any manner that could disable, overburden, or impair its functionality;
• Harass, intimidate, or harm other users of the App;
• Create multiple accounts to evade bans or suspensions;
• Use the App for any illegal purpose or in violation of any applicable law.

Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, secure, or error-free, or that any defects will be corrected. We are not responsible for the actions, content, information, or data of third parties or other users.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROXUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

Our total liability to you for any claim arising from or related to these Terms or the App shall not exceed $100 USD.

Indemnification

You agree to indemnify, defend, and hold harmless Proxus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the App;
• Your User Content;
• Your violation of these Terms;
• Your violation of any rights of another party.

Termination

We may suspend or terminate your access to Proxus at any time, with or without cause, and with or without notice. Upon termination, your right to use the App will immediately cease.

You may stop using the App at any time. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Nevada, and you consent to personal jurisdiction in such courts.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last Updated" date at the top of this document. Continued use of the App after any changes constitutes your acceptance of the new Terms.

It is your responsibility to review these Terms periodically for updates.

Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Proxus regarding your use of the App and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
